These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Valor & Faith Co. Affiliate Program (“Affiliate Program” or “Program”).
The Program is operated by AETERNUM TRADING LTD, trading as Valor & Faith Co. (“Valor & Faith Co.”, “we”, “us”, “our”, or the “Company”).
By accepting an Affiliate invitation or offer, joining or participating through Shopify Collabs, receiving or using an Affiliate link or discount code, promoting Valor & Faith Co. products under an Affiliate arrangement, receiving Affiliate commissions, or otherwise participating in the Program, you (“Affiliate”, “Creator”, “you”, or “your”) confirm that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not participate in the Affiliate Program.
1. Eligibility
To participate in the Affiliate Program, you must:
-
be at least 18 years old;
-
have the legal capacity to enter into a binding agreement;
-
provide truthful, complete, and accurate information when requested;
-
maintain accurate Affiliate and payout information;
-
comply with these Terms;
-
comply with applicable laws, regulations, advertising requirements, consumer protection rules, sanctions requirements, and platform policies; and
-
ensure that participation in the Program is lawful in your country or jurisdiction.
Participation is subject to approval by Valor & Faith Co.
We may approve or reject an application or proposed Affiliate relationship at our discretion, subject to applicable law.
Approval into the Program does not create any entitlement to remain in the Program indefinitely.
2. Nature of the Relationship
Affiliates participate in the Program as independent contractors.
Nothing in these Terms creates or should be interpreted as creating:
-
an employment relationship;
-
agency;
-
partnership;
-
joint venture;
-
franchise;
-
fiduciary relationship;
-
distributor relationship;
-
reseller relationship;
-
representative relationship; or
-
other similar legal relationship
between the Affiliate and Valor & Faith Co.
The Affiliate has no authority to bind Valor & Faith Co., enter into agreements on our behalf, make commitments on our behalf, accept obligations for us, or represent that the Affiliate has authority to do so.
The Affiliate is responsible for their own:
-
working methods;
-
equipment;
-
operating costs;
-
marketing costs;
-
business activities;
-
taxes;
-
insurance where applicable; and
-
legal and regulatory obligations.
3. No Authority to Make Commitments
Affiliates must not make warranties, guarantees, promises, commitments, representations, refund commitments, shipping promises, delivery guarantees, product guarantees, or other contractual statements on behalf of Valor & Faith Co. unless expressly authorized in writing.
Affiliates must not represent themselves as:

employees of Valor & Faith Co.;
-
official customer service representatives;
-
legal representatives;
-
authorized distributors;
-
official spokespersons; or
-
persons authorized to bind Valor & Faith Co.
unless expressly authorized in writing.
Customer service, order, refund, delivery, or product-support questions that require an official Company response should be referred to Valor & Faith Co.
4. Shopify Collabs
Valor & Faith Co. currently uses Shopify Collabs to administer Affiliate relationships.
Shopify Collabs may be used for:
-
Affiliate invitations;
-
Affiliate offers;
-
Affiliate accounts;
-
referral links;
-
discount codes;
-
referral attribution;
-
commission tracking;
-
commission validation;
-
payment disputes;
-
Affiliate payouts; and
-
other Program administration.
Affiliates may be required to create or maintain an appropriate Shopify Collabs account and comply with Shopify’s applicable terms, payment requirements, policies, and procedures.
Unless there is clear evidence of a technical or administrative error, Shopify Collabs records will generally be treated as the primary evidence of:
-
referrals;
-
attributable sales;
-
commission amounts;
-
transaction dates;
-
discount-code usage; and
-
payment status.
Valor & Faith Co. may correct obvious errors where appropriate.
5. Third-Party Platform Limitations
Valor & Faith Co. does not control all technical aspects of Shopify, Shopify Collabs, browsers, devices, payment providers, social platforms, advertising platforms, or other third-party systems.
We are not responsible for referral attribution being affected by circumstances outside our reasonable control, including:
-
deleted cookies;
-
expired cookies;
-
browser privacy settings;
-
cookie restrictions;
-
ad blockers;
-
tracking prevention;
-
customers switching devices;
-
customers switching browsers;
-
private browsing;
-
customer device settings;
-
network failures;
-
third-party software;
-
tracking restrictions;
-
platform outages;
-
Shopify or Shopify Collabs technical issues;
-
social media platform restrictions; or
-
similar technical limitations.
Participation in the Program does not guarantee that every customer interaction or purchase will be attributable to the Affiliate.
6. Affiliate Commission
The commission rate applicable to each Affiliate is the rate stated in that Affiliate’s:
-
Shopify Collabs offer;
-
campaign-specific Affiliate offer; or
-
separate written agreement with Valor & Faith Co.
For example, certain approved Affiliates may receive a 30% commission on eligible confirmed product sales.
Commission rates may differ between:
-
Affiliates;
-
products;
-
campaigns;
-
territories;
-
promotional periods;
-
partnership types; or
-
special arrangements.
An Affiliate is entitled only to the commission rate specifically applicable to that Affiliate.
7. Commission Calculation
Unless expressly stated otherwise in writing, Affiliate commission is calculated on the eligible net product amount actually paid by the customer after applicable discounts.
Commission is not calculated on:
-
shipping charges;
-
taxes;
-
VAT;
-
sales tax;
-
customs duties;
-
import duties;
-
refunds;
-
returns;
-
cancellations;
-
chargebacks;
-
disputed transactions;
-
fraudulent transactions;
-
payment processing adjustments;
-
gift-card value where applicable;
-
tips;
-
donations;
-
non-product fees; or
-
other non-product charges.
For partially refunded transactions, commission may be reduced proportionally based on the eligible product amount ultimately retained by Valor & Faith Co.
8. No Commission for Non-Sales Activity
Unless expressly agreed otherwise in writing, no Affiliate commission is earned merely from:
-
clicks;
-
impressions;
-
views;
-
likes;
-
reactions;
-
comments;
-
followers;
-
website visits;
-
leads;
-
email signups;
-
engagement;
-
abandoned checkouts;
-
unpaid orders;
-
cancelled orders; or
-
other activity that does not result in an eligible completed sale.
9. Eligible Sales
A sale qualifies for Affiliate commission only where all applicable conditions are satisfied.
These include that:
-
the transaction is properly attributed to the Affiliate under the applicable tracking arrangement;
-
payment has been successfully completed;
-
the transaction is genuine;
-
the order is legitimate;
-
the order is not fraudulent;
-
the payment method is legitimate;
-
the order has not been cancelled;
-
the order has not been refunded to the relevant extent;
-
the transaction is not subject to a successful chargeback or payment dispute;
-
the Affiliate has complied with these Terms;
-
the transaction has not resulted from prohibited conduct;
-
the applicable validation period has been completed; and
-
Valor & Faith Co. ultimately retains the eligible product payment.
Valor & Faith Co. may investigate transactions before confirming commission eligibility.
10. Referral Attribution
Referrals are normally attributed according to the tracking rules, referral mechanisms, tracking windows, discount-code rules, and other functionality applicable through Shopify Collabs or another tracking system expressly approved by Valor & Faith Co.
Affiliates should use their unique Affiliate link whenever reasonably possible.
Providing a discount code to a customer does not independently guarantee Affiliate attribution unless the transaction qualifies under the applicable tracking or Affiliate arrangement.
Valor & Faith Co. is not required to manually assign a transaction to an Affiliate where the applicable tracking system does not attribute that transaction to the Affiliate, except where we determine that a clear technical or administrative error occurred.
11. Holding and Validation Period
Unless otherwise stated in the Affiliate’s individual offer, commissions are subject to a 30-day holding and validation period following the applicable order.
During this period, commissions may remain pending while transactions are reviewed for:
-
cancellations;
-
refunds;
-
returns;
-
fraud;
-
payment disputes;
-
chargebacks;
-
suspicious activity;
-
tracking irregularities;
-
self-referrals;
-
prohibited promotional activity; or
-
other circumstances affecting commission eligibility.
Valor & Faith Co. may use a different holding period where expressly stated in the applicable Affiliate offer or Program settings.
12. Commission Disputes and Investigation
Where Valor & Faith Co. reasonably suspects fraud, abuse, tracking manipulation, policy violations, invalid traffic, artificial purchases, chargeback risk, or other material non-compliance, we may:
-
place relevant commissions on hold;
-
open a payment dispute through Shopify Collabs where available;
-
pause the Affiliate relationship;
-
temporarily disable promotional privileges;
-
investigate the relevant transactions;
-
request supporting information; and
-
delay approval of disputed commission while the matter is reasonably investigated.
Pending commission does not become finally payable merely because it appears in an Affiliate dashboard.
13. Right to Request Evidence
To protect the Program, Valor & Faith Co. may reasonably request evidence relating to Affiliate promotional activity.
This may include:
-
URLs;
-
screenshots;
-
advertising screenshots;
-
social media posts;
-
email examples;
-
traffic-source information;
-
campaign names;
-
advertising account information relevant to the promotion;
-
copies of promotional materials; or
-
other reasonable evidence necessary to investigate Program compliance.
Affiliates must cooperate reasonably with legitimate compliance investigations.
Failure to provide reasonably requested information may result in suspension, cancellation of disputed commission, or termination where the information is materially necessary to determine compliance.
14. Refunds, Returns, Cancellations and Chargebacks
No Affiliate commission is payable on an order, or portion of an order, that is:
-
cancelled;
-
refunded;
-
returned;
-
reversed;
-
fraudulent;
-
successfully disputed;
-
successfully charged back; or
-
otherwise determined to be invalid.
If commission has already been approved or paid and the underlying transaction later becomes ineligible, Valor & Faith Co. may, to the extent permitted by law:
-
reverse the commission;
-
deduct the relevant amount from future Affiliate earnings;
-
set off the amount against other sums owed to the Affiliate; or
-
request repayment of commission previously paid.
An Affiliate is not required to reimburse the full amount of a customer transaction solely because a refund or chargeback occurs.
However, an Affiliate is not entitled to retain commission relating to a transaction for which Valor & Faith Co. ultimately does not retain the corresponding eligible product payment.
15. Fraudulent or Prohibited Transactions
Commission generated through prohibited conduct does not become payable.
This includes commission arising from:
-
fraud;
-
stolen payment methods;
-
fake purchases;
-
coordinated artificial purchases;
-
self-referral abuse;
-
tracking manipulation;
-
cookie stuffing;
-
fabricated customers;
-
unauthorized coupon interception;
-
deceptive redirects;
-
artificial traffic;
-
bot traffic intended to create false activity; or
-
other materially deceptive practices.
Valor & Faith Co. may cancel commissions connected with such activity even where the transaction initially appeared valid.
16. Affiliate Payments
Eligible Affiliate commissions are processed according to the applicable Shopify Collabs arrangement and payment procedures.
Payment timing may depend on:
-
completion of the applicable holding period;
-
Shopify Collabs processing;
-
Shopify billing processes;
-
Affiliate payout setup;
-
payout thresholds;
-
identity verification;
-
banking information;
-
tax information;
-
fraud reviews;
-
disputes;
-
chargebacks;
-
payment processor timelines; or
-
other applicable platform requirements.
Valor & Faith Co. is not responsible for delays caused by an Affiliate failing to complete required payout, identity, tax, banking, or payment information.
We are also not responsible for delays caused solely by Shopify, financial institutions, payment providers, or other third parties outside our reasonable control.
17. Payment Errors
If an Affiliate reasonably believes that a commission record contains an error, the Affiliate should notify Valor & Faith Co. promptly and provide sufficient information to investigate the issue.
Valor & Faith Co. may correct:
-
duplicate commissions;
-
calculation errors;
-
tracking errors;
-
administrative errors;
-
accidental overpayments; or
-
accidental underpayments
where reasonably established.
Overpayments may be deducted from future amounts payable or reasonably requested for repayment.
18. Affiliate Links and Discount Codes
Approved Affiliates may receive:
-
a unique Affiliate link;
-
a personalized discount code; or
-
both.
These are provided solely for authorized promotion of Valor & Faith Co. products.
Affiliate links and discount codes remain subject to these Terms and may be modified, suspended, replaced, or deactivated where reasonably necessary.
19. Customer Discount Codes
Where an Affiliate receives a personalized customer discount code, the discount amount and applicable products will be determined by the individual Affiliate offer.
For example, an approved Affiliate may receive a personalized 10% customer discount code.
Unless otherwise expressly agreed:
-
the discount does not increase the Affiliate commission percentage;
-
Affiliate commission is calculated after the customer discount;
-
discounts may apply only to selected products;
-
codes may have usage restrictions;
-
codes may have expiration dates;
-
codes may be restricted to certain customers or territories;
-
discounts may not be combined with other promotions;
-
codes may be deactivated if misused; and
-
Valor & Faith Co. may modify or discontinue a code where reasonably necessary.
20. Self-Referrals
Affiliates must not purchase through their own Affiliate link or use their own Affiliate code primarily for the purpose of earning Affiliate commission.
Valor & Faith Co. may treat repeated or abusive self-referral activity as Program abuse.
Commission generated through prohibited self-referrals may be cancelled.
Legitimate personal purchases should not be structured or manipulated for the purpose of artificially generating Affiliate earnings.
21. Sub-Affiliates and Affiliate Networks
Affiliates may not appoint:
-
sub-affiliates;
-
agents;
-
sub-publishers;
-
third-party affiliate networks; or
-
other persons to promote using the Affiliate’s tracking credentials
without prior written permission from Valor & Faith Co.
The Affiliate must not sell, transfer, lease, lend, or commercially distribute their Affiliate link or Affiliate account to another party.
22. Product Availability and Geographic Restrictions
At the Effective Date of these Terms, the Saint Michael Badge is available for fulfillment within the United States only, unless Valor & Faith Co. expressly announces expanded availability.
Affiliates promoting the Saint Michael Badge should clearly communicate where appropriate:
“Available in the USA only.”
Affiliates must not knowingly represent a product as available in a territory where Valor & Faith Co. does not currently fulfill that product.
Supported territories may change.
Affiliates are responsible for using current availability information supplied by Valor & Faith Co.
23. Official Product Naming
The official product name is:
Saint Michael Badge
Affiliates should use this official name in new written promotional content.
Some older Company or production materials may contain legacy terminology such as “coin” or “medal”.
Legacy terminology does not change the official product name.
Unless approved otherwise, new Affiliate-created content should refer to the product as the Saint Michael Badge.
24. Brand Positioning
Valor & Faith Co. positions the Saint Michael Badge as a meaningful symbol and daily reminder of:
-
faith;
-
courage;
-
strength;
-
honor;
-
standing firm through difficult moments; and
-
meaningful connection with people and values that matter.
Approved brand expressions may include:
“For those who choose faith over fear.”
and:
“Faith. Honor. Protection.”
25. Prohibited Product Claims
Affiliates must not claim, promise, guarantee, or materially imply that the Saint Michael Badge:
-
guarantees physical protection;
-
guarantees supernatural protection;
-
prevents injury;
-
prevents illness;
-
prevents accidents;
-
prevents death;
-
prevents misfortune;
-
changes luck;
-
guarantees divine intervention;
-
produces miracles;
-
provides medical treatment;
-
provides psychological treatment;
-
cures, treats, or prevents a medical condition;
-
guarantees spiritual outcomes;
-
guarantees financial outcomes; or
-
produces another outcome that cannot reasonably be substantiated.
The Saint Michael Badge should be described as a symbol, keepsake, reminder, or expression of faith, courage, honor, strength, and protection as a meaningful concept, rather than as a device guaranteed to produce supernatural, medical, physical, psychological, or financial outcomes.
26. No False Institutional Endorsement
Unless expressly authorized and factually accurate, Affiliates must not state or imply that Valor & Faith Co., the Saint Michael Badge, or any Valor & Faith Co. product is officially endorsed, approved, sponsored, certified, or authorized by:
-
a church;
-
denomination;
-
diocese;
-
religious authority;
-
priest or clergy member;
-
government;
-
military branch;
-
veterans organization;
-
charity;
-
public authority;
-
celebrity;
-
public figure; or
-
other organization or institution.
27. Accuracy of Promotional Content
All Affiliate promotional content must be truthful, reasonably accurate, and not misleading.
Affiliates must not make materially false or unsupported statements concerning:
-
materials;
-
composition;
-
manufacturing;
-
features;
-
product benefits;
-
pricing;
-
discounts;
-
availability;
-
shipping;
-
delivery times;
-
inventory;
-
customer reviews;
-
testimonials;
-
guarantees;
-
endorsements;
-
refund policies; or
-
Valor & Faith Co. generally.
28. Company-Supplied Marketing Materials
Valor & Faith Co. may provide Affiliates with:
-
videos;
-
photographs;
-
graphics;
-
captions;
-
advertising concepts;
-
calls to action;
-
logos;
-
product information;
-
promotional copy;
-
campaign instructions; and
-
other marketing materials.
Affiliates may adapt approved materials to their own voice and format provided that they do not materially change factual information or create prohibited claims.
Providing a marketing asset does not authorize the Affiliate to use it in a manner that violates applicable law, these Terms, or platform policies.
29. Affiliate Disclosure
Affiliates must clearly disclose their commercial relationship with Valor & Faith Co. whenever required by applicable advertising, endorsement, consumer protection, or platform rules.
The disclosure must be:
-
clear;
-
understandable;
-
prominent;
-
reasonably noticeable; and
-
placed where the audience is likely to see, hear, or understand it.
Appropriate disclosure language may include:
“Ad / Affiliate — I earn a commission if you purchase through my link or discount code.”
or:
“Affiliate partnership with Valor & Faith Co. I earn a commission on qualifying purchases through my link.”
Affiliates remain responsible for determining the disclosure required for their particular content, platform, audience, and jurisdiction.
30. Placement of Disclosures
Affiliates must not intentionally hide required Affiliate disclosures:
-
only on a profile or biography page;
-
only at the bottom of lengthy content;
-
behind a “more” button where avoidable;
-
among large groups of hashtags;
-
after numerous unrelated links;
-
in vague terminology consumers are unlikely to understand; or
-
in another location where an ordinary viewer is unlikely to notice it.
Where appropriate, disclosures should be made within or immediately alongside the endorsement itself.
For video, story, reel, livestream, or similar content, Affiliates must use disclosures appropriate to that format.
31. Compliance with Advertising Rules
Affiliates are responsible for complying with laws, rules, and guidance applicable to their marketing activities.
Depending on the Affiliate, audience, and territory, this may include requirements enforced by or relating to:
-
the U.S. Federal Trade Commission (FTC);
-
UK advertising and consumer-protection authorities;
-
other national consumer-protection regulators;
-
Meta;
-
Facebook;
-
Instagram;
-
TikTok;
-
YouTube;
-
Google;
-
email providers; and
-
other platforms used by the Affiliate.
Using a platform-provided “paid partnership” feature does not automatically relieve an Affiliate of any separate legal disclosure obligation.
32. Reviews and Testimonials
Affiliates must not create or publish:
-
fake reviews;
-
fabricated testimonials;
-
false star ratings;
-
fictional customer identities presented as genuine;
-
fake endorsements;
-
purchased fake testimonials;
-
materially manipulated testimonials; or
-
fabricated customer experiences.
An Affiliate must not claim personal experience with a product that they have not actually had.
Where an Affiliate genuinely uses a product and discusses their experience, the endorsement must reflect their honest opinion and experience.
33. Dramatizations and Illustrative Content
Illustrative stories, dramatizations, hypothetical scenarios, or creative concepts must not be presented in a manner that materially misleads consumers into believing they are verified customer testimonials or authenticated customer experiences.
Where clarification is reasonably required to avoid deception, the Affiliate must provide it.
34. AI, Synthetic Media and Impersonation
Affiliates must not use artificial intelligence, synthetic media, manipulated audio, deepfakes, cloned voices, fabricated people, or similar technology to:
-
create false endorsements;
-
impersonate Valor & Faith Co.;
-
impersonate a real customer;
-
impersonate clergy;
-
impersonate military personnel;
-
impersonate public figures;
-
fabricate testimonials;
-
materially deceive consumers about product performance; or
-
create a false impression of official endorsement.
Use of AI tools for ordinary editing or content creation is not prohibited provided that the resulting content complies with these Terms and applicable law.
35. Social Media and Promotional Channels
Affiliates may promote Valor & Faith Co. through appropriate channels including:
-
Facebook;
-
Instagram;
-
TikTok;
-
YouTube;
-
Facebook Reels;
-
Instagram Reels;
-
stories;
-
short-form video;
-
long-form video;
-
websites;
-
blogs;
-
newsletters;
-
email; and
-
other authorized digital channels.
All promotional activity remains subject to these Terms.
36. Content Pre-Approval
Valor & Faith Co. may require pre-approval of promotional content for:
-
specific campaigns;
-
sensitive claims;
-
paid advertising;
-
new promotional concepts;
-
special partnerships; or
-
situations presenting increased legal, brand, or reputational risk.
Where pre-approval is expressly required, the Affiliate must not publish the relevant content until approval has been provided.
Approval of one piece of content does not constitute blanket approval of future content.
37. Content Review and Correction
Valor & Faith Co. may request reasonable modification, correction, or removal of Affiliate content that:
-
contains materially inaccurate information;
-
contains prohibited claims;
-
misuses our intellectual property;
-
violates applicable law;
-
violates these Terms;
-
misrepresents prices or discounts;
-
misrepresents availability;
-
contains fake reviews;
-
creates material reputational risk;
-
creates a legitimate compliance concern; or
-
materially misrepresents the Affiliate relationship.
Affiliates must cooperate reasonably with such requests.
38. Immediate Takedown for Serious Violations
Where content creates a serious or urgent legal, customer-safety, intellectual-property, fraud, platform, or reputational issue, Valor & Faith Co. may require the Affiliate to immediately stop promotion and remove or disable the relevant content as soon as reasonably practicable.
This may include content involving:
-
fraudulent claims;
-
impersonation;
-
illegal advertising;
-
unauthorized paid advertising;
-
serious intellectual-property misuse;
-
fake testimonials;
-
dangerous product claims;
-
unlawful discrimination;
-
hate content; or
-
other material misconduct.
39. Brand-Safety Requirements
Affiliates must not intentionally place Valor & Faith Co. advertisements, Affiliate links, or branded content alongside content that is unlawful or materially inconsistent with our brand values.
This includes content primarily involving:
-
hate speech;
-
unlawful discrimination;
-
terrorism;
-
exploitation;
-
illegal activity;
-
fraudulent schemes;
-
explicit threats of violence;
-
deceptive financial schemes; or
-
other content reasonably likely to cause serious reputational harm to Valor & Faith Co.
40. Valor & Faith Co. Intellectual Property
Valor & Faith Co., AETERNUM TRADING LTD, and their licensors retain all applicable rights in their respective:
-
trademarks;
-
trade names;
-
logos;
-
graphics;
-
product images;
-
videos;
-
photographs;
-
website content;
-
advertising materials;
-
written copy;
-
product designs;
-
packaging;
-
artwork; and
-
other intellectual property.
No ownership rights are transferred to the Affiliate.
41. Limited Affiliate Brand License
While actively participating in the Program, approved Affiliates receive a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to use authorized Valor & Faith Co. brand assets solely for legitimate promotion under the Affiliate Program.
The license automatically ends when:
-
the Affiliate relationship terminates;
-
permission is withdrawn;
-
the relevant campaign ends; or
-
use of the material otherwise becomes unauthorized.
42. Prohibited Brand Uses
Affiliates must not:
-
claim ownership of Valor & Faith Co. intellectual property;
-
register Valor & Faith Co. trademarks;
-
register confusingly similar trademarks;
-
register misleading business names;
-
register domains containing or confusingly resembling our brand without permission;
-
create social accounts impersonating Valor & Faith Co.;
-
materially modify our logo in a misleading manner;
-
sublicense our brand assets;
-
sell our digital brand assets;
-
use our materials for unrelated purposes; or
-
continue unauthorized use after termination.
43. Affiliate-Created Content
Unless otherwise agreed, Affiliates retain ownership of original content independently created by them.
By publishing content specifically promoting Valor & Faith Co. or its products under the Affiliate relationship, the Affiliate grants Valor & Faith Co. a non-exclusive, worldwide, royalty-free license to repost, display, reproduce, and share that promotional content through Valor & Faith Co.’s owned or controlled organic marketing channels, including:
-
Company social media accounts;
-
the Valor & Faith Co. website;
-
organic email communications; and
-
other Company-owned organic channels.
Valor & Faith Co. may reasonably credit or tag the Affiliate where appropriate.
44. Paid Use of Affiliate Content
The organic-content license above does not automatically authorize Valor & Faith Co. to use an Affiliate’s identity, likeness, voice, or independently created content in paid advertising campaigns.
Paid advertising usage, whitelisting, creator licensing, extended usage rights, or similar commercial usage may require separate written agreement or consent.
Content already lawfully reposted during the Affiliate relationship may remain in historical or archived organic posts after termination unless removal is required by law or otherwise agreed.
45. Affiliate Content Warranties
The Affiliate represents that promotional content created and supplied by the Affiliate will not knowingly violate third-party rights.
The Affiliate is responsible for obtaining any permissions reasonably necessary for content they independently create, including where applicable permissions relating to:
-
photographs;
-
video;
-
music;
-
copyrighted material;
-
trademarks;
-
likenesses;
-
voices; or
-
other protected material.
Affiliates must not provide Valor & Faith Co. with content they do not have the right to use for the intended purpose.
46. Paid Advertising by Affiliates
Affiliates must not run paid advertising using:
-
the Valor & Faith Co. trademark;
-
the Valor & Faith Co. brand name;
-
branded search keywords;
-
Company URLs;
-
Company social media identities;
-
copyrighted Company creative assets; or
-
advertisements designed to appear to be official Valor & Faith Co. advertisements
unless expressly authorized in writing.
47. Search Advertising and Brand Bidding
Unless expressly authorized in writing, Affiliates must not bid on:
-
“Valor & Faith Co.”;
-
confusingly similar variations;
-
common misspellings;
-
product trademarks;
-
Company domain names;
-
brand-plus-coupon terms; or
-
other branded search terms
for the purpose of intercepting traffic already seeking Valor & Faith Co.
Affiliates must not use our brand name in paid-ad display URLs in a manner likely to create confusion about the source of the advertisement.
48. No Impersonation Advertising
Affiliates must not create advertisements, landing pages, social accounts, websites, or other marketing properties that would reasonably cause consumers to believe they are dealing directly with an official Valor & Faith Co. account when they are not.
49. Email, SMS and Direct Messaging
Affiliates must not promote Valor & Faith Co. using:
-
unsolicited bulk email;
-
purchased email lists;
-
spam;
-
unlawful SMS messages;
-
deceptive direct messages;
-
unauthorized automated messaging;
-
harvested contact information;
-
impersonation; or
-
other abusive direct-marketing practices.
All Affiliate communications must comply with applicable anti-spam, privacy, electronic communications, and direct-marketing laws.
50. Coupon and Deal Websites
Unless expressly approved, Affiliates must not submit personalized Affiliate codes to:
-
public coupon databases;
-
coupon browser extensions;
-
automated coupon tools;
-
coupon aggregators;
-
cashback interception services;
-
toolbars;
-
software intended to intercept existing customers; or
-
similar services.
Commission generated through unauthorized coupon interception or attribution manipulation may be cancelled.
51. Tracking Manipulation
Affiliates must not:
-
engage in cookie stuffing;
-
force clicks;
-
force redirects;
-
use invisible redirects;
-
overwrite another Affiliate’s tracking;
-
inject Affiliate cookies without genuine user action;
-
use adware for unauthorized attribution;
-
create artificial referrals;
-
manipulate attribution systems; or
-
use other deceptive tracking methods.
52. Prohibited Conduct
Affiliates must not engage in:
-
fraud;
-
false advertising;
-
impersonation;
-
deceptive marketing;
-
intellectual-property infringement;
-
spam;
-
fake testimonials;
-
fake reviews;
-
fabricated customer experiences;
-
artificial traffic;
-
fake purchases;
-
stolen payment methods;
-
tracking manipulation;
-
cookie stuffing;
-
self-referral abuse;
-
bribery;
-
unlawful conduct;
-
unlawful discrimination;
-
harassment;
-
intentionally deceptive customer practices; or
-
conduct reasonably likely to cause serious reputational or legal harm to Valor & Faith Co.
53. Compliance with Sanctions and Applicable Law
Affiliates must not use the Affiliate Program in a manner that would knowingly cause Valor & Faith Co. or AETERNUM TRADING LTD to violate applicable:
-
sanctions;
-
export restrictions;
-
trade restrictions;
-
anti-money-laundering requirements;
-
anti-bribery laws;
-
anti-corruption laws; or
-
other applicable legal restrictions.
Valor & Faith Co. may suspend or terminate participation where necessary to comply with legal, regulatory, banking, payment-provider, or sanctions requirements.
54. No Bribery or Improper Payments
Affiliates must not offer, promise, authorize, request, or accept improper payments, bribes, kickbacks, or unlawful inducements in connection with the Affiliate Program.
55. Customer Payments and Orders
Unless expressly authorized, Affiliates must not:
-
collect customer payments on behalf of Valor & Faith Co.;
-
process customer payment information;
-
represent that they can approve refunds;
-
independently issue Valor & Faith Co. refunds;
-
modify customer orders;
-
guarantee delivery dates; or
-
make contractual commitments concerning customer orders.
Customers should complete purchases through approved Valor & Faith Co. sales channels.
56. Customer Complaints
If an Affiliate receives a material customer complaint concerning:
-
product safety;
-
fraud;
-
payment issues;
-
serious product misrepresentation;
-
legal concerns; or
-
other significant matters involving Valor & Faith Co.,
the Affiliate should forward or refer the matter to Valor & Faith Co. rather than presenting themselves as authorized to make an official Company determination.
57. Affiliate Responsibility
Affiliates are responsible for their own:
-
promotional content;
-
advertising activities;
-
disclosures;
-
claims;
-
traffic sources;
-
marketing practices;
-
legal compliance; and
-
platform compliance.
Providing Affiliate materials, examples, guidance, or suggested marketing copy does not authorize conduct prohibited by these Terms or applicable law.
58. Taxes
Affiliates are solely responsible for determining, reporting, and paying any applicable:
-
income tax;
-
business tax;
-
VAT obligations;
-
sales-related tax obligations applicable to them;
-
social contributions;
-
governmental charges; or
-
other taxes arising from Affiliate compensation.
Valor & Faith Co. does not provide individual tax advice.
Affiliates may be required to provide tax, residency, identity, or other documentation before receiving payment.
59. Privacy and Personal Data
Personal information relating to Affiliates may be processed by:
-
Valor & Faith Co.;
-
AETERNUM TRADING LTD;
-
Shopify;
-
Shopify Collabs;
-
payment providers; and
-
other service providers reasonably necessary to operate the Program.
Information may be processed for:
-
account administration;
-
communications;
-
identity verification;
-
payment processing;
-
fraud prevention;
-
compliance;
-
tax administration where applicable; and
-
management of the Affiliate relationship.
Personal information will be handled in accordance with applicable data-protection law and relevant privacy policies.
60. Affiliate Data Responsibilities
Affiliates remain independently responsible for complying with applicable privacy and data-protection laws in relation to information they collect through:
-
their own websites;
-
mailing lists;
-
lead-generation activities;
-
advertisements;
-
direct messages;
-
analytics tools; or
-
other marketing activities.
Participation in the Program does not authorize an Affiliate to collect personal information on behalf of Valor & Faith Co. unless expressly agreed in writing.
61. Confidential Information
Valor & Faith Co. may provide non-public information relating to:
-
campaigns;
-
product launches;
-
unreleased products;
-
pricing tests;
-
unreleased creative material;
-
future promotions;
-
sales performance;
-
business strategy;
-
commission structures; or
-
other confidential matters.
Where information is identified as confidential or would reasonably be understood as confidential, Affiliates must not disclose or misuse it without authorization.
62. Exceptions to Confidentiality
Confidentiality obligations do not apply to information that:
-
becomes lawfully public without breach by the Affiliate;
-
was lawfully known by the Affiliate before disclosure;
-
is lawfully obtained from an independent third party; or
-
must be disclosed under applicable law or lawful governmental or court order.
Where lawful and reasonably possible, the Affiliate should notify Valor & Faith Co. before making a legally compelled disclosure of confidential information.
63. Program Monitoring
Valor & Faith Co. may reasonably monitor Affiliate activity for the purpose of protecting:
-
customers;
-
the Program;
-
other Affiliates;
-
payment systems; and
-
our brand.
Monitoring may include review of:
-
referred orders;
-
traffic patterns;
-
conversion patterns;
-
discount-code usage;
-
customer complaints;
-
promotional content;
-
suspicious transactions;
-
refunds;
-
chargebacks;
-
self-referrals; and
-
other relevant Program activity.
64. Suspension
Valor & Faith Co. may temporarily suspend an Affiliate relationship where reasonably necessary to investigate:
-
suspected fraud;
-
suspicious transactions;
-
tracking manipulation;
-
prohibited claims;
-
legal violations;
-
platform violations;
-
brand misuse;
-
customer complaints; or
-
other material compliance concerns.
During suspension, Affiliate links or codes may be temporarily disabled and pending commission may remain subject to review.
65. Termination by Valor & Faith Co.
Valor & Faith Co. may terminate an Affiliate relationship where reasonably necessary, including for:
-
breach of these Terms;
-
fraud;
-
misleading advertising;
-
prohibited product claims;
-
misuse of brand assets;
-
spam;
-
tracking manipulation;
-
self-referral abuse;
-
unauthorized paid advertising;
-
fake testimonials;
-
serious reputational harm;
-
platform violations;
-
sanctions concerns;
-
unlawful activity;
-
repeated material violations; or
-
other serious misconduct.
66. Termination Without Cause
Unless a separate written agreement provides otherwise, either party may end the Affiliate relationship at any time.
Valor & Faith Co. may also discontinue, restructure, pause, or close the Affiliate Program subject to any payment obligations that have already validly accrued.
67. Consequences of Termination
Upon termination:
-
the Affiliate must stop representing themselves as an active Valor & Faith Co. Affiliate;
-
unauthorized use of our brand assets must stop;
-
Affiliate links may be disabled;
-
discount codes may be disabled;
-
access to Affiliate materials may be revoked; and
-
new commission will no longer accrue after the Affiliate relationship has ended and applicable tracking has been deactivated.
Legitimate commission earned before termination may remain payable subject to:
-
validation;
-
refunds;
-
cancellations;
-
fraud reviews;
-
disputes;
-
tracking requirements;
-
chargebacks; and
-
these Terms.
68. Commission Following Breach
Termination does not require Valor & Faith Co. to pay commission generated through:
-
fraud;
-
prohibited traffic;
-
deceptive attribution;
-
tracking manipulation;
-
fake transactions;
-
self-referral abuse; or
-
other material conduct that violated these Terms and directly affected the relevant commission.
Legitimate commission unrelated to the breach will not be arbitrarily forfeited solely because the Affiliate relationship has ended.
69. Set-Off
To the extent permitted by applicable law, Valor & Faith Co. may set off amounts that an Affiliate validly owes to us under these Terms against amounts otherwise payable to that Affiliate.
This may include:
-
commission overpayments;
-
reversed commissions;
-
chargeback-related commission adjustments; or
-
other amounts properly recoverable under these Terms.
70. Changes to Commission Rates
Valor & Faith Co. may change commission rates prospectively.
A new commission rate does not retroactively reduce eligible commission already validly earned under the previous rate.
Material changes affecting an existing Affiliate’s economic arrangement should be communicated through:
-
Shopify Collabs;
-
email; or
-
another reasonable electronic communication method
before the new rate applies prospectively.
71. Changes to the Affiliate Program
Valor & Faith Co. may modify:
-
available products;
-
supported territories;
-
discount amounts;
-
promotional rules;
-
tracking arrangements;
-
campaign requirements;
-
Affiliate benefits;
-
Program structure; and
-
these Terms.
Where a change materially affects existing Affiliates, we will use reasonable means to communicate the change before or when it becomes effective, as appropriate.
72. No Guaranteed Earnings
Valor & Faith Co. makes no representation or guarantee regarding:
-
Affiliate income;
-
earnings;
-
sales;
-
traffic;
-
clicks;
-
impressions;
-
conversion rates;
-
engagement;
-
customer response;
-
social-media reach;
-
campaign performance; or
-
future Affiliate opportunities.
Affiliate performance depends on numerous factors outside our control.
Nothing in the Program constitutes a promise or guarantee of income.
73. No Minimum Sales Commitment
Unless expressly agreed in writing, an Affiliate is not required to generate any minimum number of sales.
However, Valor & Faith Co. may deactivate inactive Affiliate relationships, links, or codes where reasonably necessary to manage the Program.
74. No Exclusivity
Unless expressly agreed in writing, Affiliate relationships are non-exclusive.
Valor & Faith Co. may work with:
-
other Affiliates;
-
influencers;
-
creators;
-
publishers;
-
agencies;
-
organizations;
-
charities;
-
retailers;
-
partners; or
-
advertisers.
Affiliates may generally work with other brands provided that doing so does not breach confidentiality or falsely imply exclusivity.
75. Affiliate Representations
By participating in the Program, the Affiliate represents and warrants that, to the best of their knowledge:
-
information supplied to Valor & Faith Co. is materially accurate;
-
they have authority to enter into the Affiliate relationship;
-
their promotional activities will comply with applicable law;
-
they will not knowingly infringe third-party intellectual-property rights;
-
they will not engage in fraud;
-
they will comply with disclosure obligations; and
-
they will not knowingly make prohibited product claims.
76. Indemnification
To the fullest extent permitted by applicable law, the Affiliate agrees to indemnify and keep indemnified Valor & Faith Co. and AETERNUM TRADING LTD against losses, claims, liabilities, damages, costs, and reasonable expenses arising directly from the Affiliate’s:
-
fraud;
-
unlawful conduct;
-
material breach of these Terms;
-
unauthorized product claims;
-
deceptive advertising;
-
intellectual-property infringement;
-
unauthorized use of third-party content;
-
spam;
-
violation of applicable advertising law;
-
material misuse of personal data;
-
unauthorized paid advertising; or
-
other material misconduct.
This indemnity does not apply to the extent that the relevant loss was caused by Valor & Faith Co.’s own unlawful conduct, fraud, or negligence.
77. Duty to Mitigate and Cooperate
Where a third-party claim arises from Affiliate activity, the Affiliate and Valor & Faith Co. should reasonably cooperate in addressing the matter.
Neither party should knowingly take unreasonable steps that materially increase avoidable losses associated with the claim.
78. Limitation of Liability
To the fullest extent permitted by applicable law, Valor & Faith Co., AETERNUM TRADING LTD, and their officers, directors, employees, and contractors will not be liable to an Affiliate for:
-
indirect loss;
-
consequential loss;
-
special loss;
-
loss of anticipated profit;
-
loss of business opportunity;
-
loss of goodwill;
-
loss of anticipated savings;
-
loss resulting from interruption of third-party platforms; or
-
loss of data
arising from or relating to participation in the Affiliate Program.
79. Aggregate Liability Cap
Subject to Section 80 and to the fullest extent permitted by applicable law, the total aggregate liability of Valor & Faith Co. and AETERNUM TRADING LTD to an Affiliate arising out of or relating to the Affiliate Program will not exceed the greater of:
(a) £100; or
(b) the total Affiliate commissions paid or validly payable to that Affiliate during the 12 months immediately preceding the event giving rise to the claim.
This limitation applies to the aggregate of all claims arising from the same or connected events.
80. Liability That Cannot Be Excluded
Nothing in these Terms excludes or restricts liability to the extent that such liability cannot lawfully be excluded or restricted.
In particular, nothing in these Terms is intended to exclude or limit liability for:
-
death or personal injury caused by negligence where such liability cannot legally be limited;
-
fraud;
-
fraudulent misrepresentation; or
-
another liability that applicable law prohibits us from excluding or limiting.
81. Third-Party Platforms
Valor & Faith Co. does not warrant that Shopify, Shopify Collabs, social networks, payment providers, hosting services, analytics platforms, or other third-party services will operate:
-
continuously;
-
error-free;
-
without interruption; or
-
without changes to their features or policies.
We are not responsible for third-party platform changes outside our reasonable control.
82. Force Majeure
Valor & Faith Co. will not be responsible for failure or delay in performing obligations under the Program to the extent caused by circumstances outside our reasonable control.
These may include:
-
natural disasters;
-
severe weather;
-
fire;
-
flood;
-
war;
-
terrorism;
-
civil unrest;
-
government action;
-
sanctions;
-
epidemics or pandemics;
-
major internet outages;
-
payment-network failures;
-
carrier disruptions;
-
labor disruptions;
-
cyber incidents affecting third-party infrastructure; or
-
major platform outages.
This section does not excuse obligations that can reasonably still be performed despite the relevant event.
83. Equitable and Injunctive Relief
The Affiliate acknowledges that certain breaches involving:
-
intellectual property;
-
confidential information;
-
impersonation; or
-
unauthorized use of the Valor & Faith Co. brand
may cause harm that cannot always be adequately remedied solely through monetary damages.
Where legally appropriate, Valor & Faith Co. may seek injunctive or other equitable relief in addition to other available remedies.
84. No Reliance on Future Opportunities
Participation in the Program does not create any entitlement to:
-
future campaigns;
-
future commission rates;
-
free products;
-
sponsorships;
-
paid collaborations;
-
exclusivity;
-
long-term partnerships; or
-
other commercial opportunities
unless expressly agreed in writing.
85. Assignment
The Affiliate may not transfer, assign, sell, or delegate their Affiliate relationship or rights under these Terms to another person without prior written consent from Valor & Faith Co.
Valor & Faith Co. may assign or transfer its rights and obligations under these Terms to:
-
an affiliated company;
-
a successor business;
-
a purchaser of the relevant business or brand; or
-
another entity acquiring substantially all of the relevant business assets,
provided that doing so does not unlawfully reduce accrued Affiliate rights.
86. No Third-Party Rights
Except where expressly stated otherwise, a person who is not a party to the Affiliate relationship has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
This does not affect any right or remedy of a third party that exists independently of that Act.
87. Electronic Communications
The Affiliate agrees that Program communications may be provided electronically, including through:
-
Shopify Collabs;
-
email;
-
electronic notices;
-
account dashboards; or
-
other reasonable digital communication methods.
Electronic acceptance, where legally valid, may have the same effect as written acceptance.
88. Notices
Questions or notices relating to the Affiliate Program may be sent to:
An Affiliate is responsible for maintaining an accurate email address and Affiliate account information so that Program communications can be received.
89. Dispute Notification
Before commencing legal proceedings relating to these Terms, a party should, where reasonably practicable, provide written notice describing the dispute and allow the parties a reasonable opportunity to attempt to resolve it in good faith.
Nothing in this section prevents either party from seeking urgent injunctive or protective relief where reasonably necessary.
90. Governing Law
These Terms and the Affiliate relationship are governed by the laws of England and Wales, without prejudice to mandatory legal rights or protections that cannot lawfully be excluded.
91. Jurisdiction
Subject to mandatory jurisdictional requirements that cannot lawfully be excluded, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or participation in the Affiliate Program.
92. Severability
If any provision of these Terms is determined by a competent court or authority to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
Where legally permitted, the affected provision should be interpreted or modified only to the minimum extent necessary to make it enforceable.
93. Waiver
Failure or delay by Valor & Faith Co. in exercising a right under these Terms does not constitute a permanent waiver of that right.
A waiver relating to one event does not automatically waive rights relating to another event.
94. Survival
Provisions which by their nature are intended to continue after termination will survive termination of the Affiliate relationship.
This includes, where applicable, provisions concerning:
-
unpaid or adjusted commission;
-
refunds and chargebacks;
-
fraud;
-
confidentiality;
-
intellectual property;
-
Affiliate-created content already lawfully used;
-
indemnification;
-
limitation of liability;
-
dispute resolution;
-
governing law;
-
jurisdiction;
-
taxes; and
-
obligations arising from conduct occurring before termination.
95. Entire Affiliate Agreement
These Terms, together with:
-
the Affiliate’s individual Shopify Collabs offer;
-
campaign-specific written instructions;
-
applicable Affiliate Content Guidelines;
-
approved commission arrangements;
-
approved discount arrangements; and
-
any separate written agreement expressly agreed between Valor & Faith Co. and the Affiliate
form the contractual framework governing participation in the Affiliate Program.
96. Order of Precedence
Where a specific written Affiliate offer expressly conflicts with a general commercial term in these Terms, the specific written Affiliate offer will control for that specific commercial matter unless the offer expressly states otherwise.
These Terms will continue to apply to matters not specifically changed by the individual Affiliate offer.
Applicable mandatory law will prevail where it cannot legally be excluded.
97. Amendments to These Terms
Valor & Faith Co. may update these Terms from time to time.
Material changes will be communicated through a reasonable method, which may include:
-
publication on the Valor & Faith Co. website;
-
Shopify Collabs;
-
email; or
-
direct electronic communication.
Where appropriate, material changes affecting an existing Affiliate will apply prospectively after reasonable notice.
Continued participation after updated Terms become effective may constitute acceptance where permitted by applicable law.
98. Acceptance of Terms
The Affiliate confirms acceptance of these Terms by any of the following actions after the Terms have been made available to them:
-
accepting an Affiliate invitation;
-
accepting an Affiliate offer;
-
joining through Shopify Collabs;
-
using an Affiliate link;
-
using or distributing an Affiliate discount code;
-
promoting Valor & Faith Co.;
-
receiving Affiliate commissions; or
-
otherwise continuing participation in the Program.
For Affiliates who joined before these Terms were provided, Valor & Faith Co. may require separate written or electronic confirmation of acceptance.

100. Final Acknowledgement
By participating in the Valor & Faith Co. Affiliate Program, the Affiliate acknowledges that:

they have had the opportunity to review these Terms;

they understand that Affiliate income is not guaranteed;
-
they are responsible for their own promotional activity;
-
commissions are payable only on eligible transactions;
-
fraudulent or prohibited conduct may result in loss of related commissions;
-
they must comply with applicable advertising disclosure requirements;
-
they must not make unauthorized product claims;
-
they have no authority to bind Valor & Faith Co.; and
-
participation remains subject to these Terms and the Affiliate’s applicable written offer.
